1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “user”) and Risehat. By accessing or using Risehat's website, web application, and all related services and features (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
2. Eligibility and User Types
By registering as a Startup, you affirm that you are currently building a startup and are in one of the following stages: Idea, Validation, Building Prototype, Early Traction, Launched, Scaling, or Established. Providing false or misleading information about your startup constitutes a material breach of these Terms and may result in suspension or termination of your account.
By registering, you declare that you're over 18 years of age and warrant that all information you provide regarding your eligibility is truthful, complete, and up to date. You also represent that you have the legal authority to act on behalf of any company, organization or entity you register or represent. All employees added to an organization account must meet the same eligibility standards and are subject to these Terms.
Risehat reserves the right to verify your eligibility as a condition of access to the Service. While Risehat may, at its discretion, conduct eligibility verification, we are not responsible for independently confirming the truthfulness or accuracy of all user-submitted information or documents. Risehat does not endorse, guarantee, or assume liability for the validity of any user’s claimed credentials or representations.
We may refuse, suspend, or revoke access to any user, employee, or organization at any time, at our sole discretion, with or without notice, including but not limited to cases where eligibility information cannot be verified, appears fraudulent, becomes outdated, or no longer meets our standards.
Risehat reserves the right to update or change eligibility criteria at any time to maintain the quality, safety, and integrity of the community and the Service
Users from jurisdictions subject to Israel sanctions or embargoes are not permitted to access the Service.
3. Account Registration and Security
To access the Service, you must create an account by providing accurate, complete, and up-to-date information. You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account. Risehat is not liable for any unauthorized access, use, or misuse of your account, except to the extent caused solely by our gross negligence or willful misconduct.
If you create an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization and to add employees. All employees must comply with these Terms and must register using a professional email address associated with the organization’s domain. You remain fully responsible for managing your employees, including the activity of any invited members, and for ensuring that only authorized personnel retain access to your organization’s account.
Individual accounts must not be shared or used by more than one person. Sharing credentials or permitting unauthorized access is strictly prohibited and constitutes a violation of these Terms, which may result in suspension or termination of your account and all associated accounts.
You agree to promptly update any information that becomes inaccurate or outdated and to notify Risehat immediately of any material changes, including but not limited to a change in organizational affiliation, employees status, or authority. You may not impersonate another person, use an unauthorized payment method, create multiple accounts to evade restrictions, use automated means to create accounts, or otherwise attempt to circumvent platform controls or policies.
Risehat reserves the right, at our sole discretion, to approve, reject, suspend, limit, or terminate any account or employee, with or without notice, especially in cases of suspected fraud, misrepresentation, ineligibility, security concerns, or violations of these Terms.
4. Application Process
All information and documents submitted for application must be truthful, complete, and accurate. Submission of application materials does not guarantee approval, continued access to the Service, or any specific time frame for processing. Risehat, at its sole discretion, reserves the right to approve, deny, suspend, or revoke verification or account access at any time and is under no obligation to provide a detailed explanation for its decisions. Risehat's application procedures are discretionary and do not create an ongoing duty to monitor, review, or verify user credentials after initial approval unless required by law.
Risehat may request additional information or documentation at any time, either during the initial application process or subsequently, to confirm the ongoing validity of your eligibility (“re-verification”). Failure to comply with re-verification requests, or submission of false, fraudulent, incomplete, or misleading information, will be deemed a material breach of these Terms and is grounds for immediate suspension or termination of your account. Risehat reserves the right to refer suspected fraudulent submissions to appropriate authorities or partners as necessary.
Risehat may retain copies of submitted documents for audit, compliance, fraud prevention, and quality control purposes, in accordance with our Privacy Policy
You agree to promptly notify Risehat if any information or documents provided during verification become outdated, inaccurate, or invalid (for example, if your affiliation status changes, accreditation expires, or employees leave your organization). Failure to maintain current and truthful information may result in suspension or revocation of access to the Service.
Risehat expressly disclaims responsibility for verifying the continued accuracy of user-submitted information following initial account approval unless required by law. You acknowledge that it is your sole responsibility to ensure that your eligibility remains valid at all times.
You further agree that Risehat shall not be liable for any direct or indirect damages, claims, or losses resulting from errors, delays, or mistakes made during the application or re-application process, including but not limited to the approval, suspension, or rejection of your account or the accounts of others. Risehat's application decisions are final and binding.
5. Use of the Service
Risehat provides a technology platform designed to facilitate introductions between startups and organizations. The Service includes, but is not limited to, profile creation, smart connecting based on user preferences, direct messaging, scheduling tools, and other networking and discovery features. Risehat acts solely as an intermediary providing access to the platform and does not broker deals, participate in negotiations, or engage in any financial, legal, or business transaction between users. No agency, partnership, joint venture, employment, or fiduciary relationship is created between Risehat and any user as a result of these Terms or the use of the Service.
While Risehat conducts initial eligibility screening as described in the Application Process, we do not independently verify or continuously monitor the financial standing, accreditation, investment suitability, legal status, business viability, or representations of any user, founder, startup, or organization. All introductions, communications, negotiations, and resulting transactions are conducted entirely at the risk of the participating users.
Risehat does not provide investment advice, solicit investments, or make recommendations regarding any securities, financial products, collaborations, or investment opportunities. The platform does not facilitate or execute investments, and funding or investment of any kind is not guaranteed. Any information provided on the platform is for informational and networking purposes only and should not be considered investment, legal, or tax advice.
Risehat does not endorse, recommend, or assume responsibility for any user, opportunity, collaboration, investment, startup, or transaction conducted through the platform. We do not guarantee the number, quality, or outcome of connections, meetings, introductions, or opportunities available through the Service, nor do we promise any level of success or performance.
You acknowledge and agree that Risehat does not guarantee or warrant the truthfulness, accuracy, or completeness of any user’s representations, including but not limited to their identity and professional status. Risehat is not responsible for verifying whether a founder is actually building or working at a startup, whether an organization is legitimate, or whether any user has misrepresented themselves in any way. All users are solely responsible for conducting their own due diligence before engaging in any communications, relationships, or transactions facilitated through the Service.
Users agree to interact professionally and respectfully with all other users. You must comply with all applicable laws and regulations in your jurisdiction, including but not limited to those relating to securities, fundraising, anti-money laundering, and data privacy. You further agree not to engage in any conduct that is abusive, fraudulent, misleading, harassing, defamatory, unlawful, or otherwise harmful to the community or the integrity of the platform.
You acknowledge that Risehat does not pre-screen users or communications and is not responsible for monitoring or moderating user communications or interactions outside of the platform. Risehat reserves the right, but does not assume the obligation, to investigate complaints, disputes, or alleged misconduct and to suspend or terminate accounts where appropriate. Risehat is not responsible for any fraudulent, unlawful, or unauthorized acts committed by users, even if such acts occur through use of the platform.
By using the Service, you accept full responsibility for your own decisions and actions and release Risehat from any and all liability, claims, damages, losses, or expenses arising out of or relating to your use of the platform, your interactions with other users, and the outcomes of any introductions, communications, negotiations, or transactions facilitated through the Service.
6. Connections and Communication
Connections are established when both a Startup and an Organization express mutual interest by indicating a positive connection (such as by clicking "Connect" or using a similar feature). Once connected, users may engage in direct messaging and may utilize scheduling tools to arrange meetings or further communication.
The availability, number, and quality of potential connections are dependent on a variety of factors, including user activity, profile preferences, subscription level, connecting algorithms, and the overall availability of suitable users at any given time. Risehat makes no guarantee regarding the quantity, frequency, quality, suitability, compatibility, or success of connections or communications. You acknowledge that results may vary, and no specific outcomes are promised or implied.
Connections and communication tools are provided as a convenience to facilitate introductions. Risehat does not participate in, monitor, or moderate user communications or negotiations unless explicitly required by law or as part of an internal investigation for violations of these Terms. Risehat does not pre-screen users or perform background checks related to connections or communication.
Risehat reserves the right, at its sole discretion, to adjust visibility settings, connecting algorithms, or related features as necessary to maintain a balanced, effective, and fair user experience or to comply with platform policies, legal obligations, or technical constraints. Risehat does not guarantee that changes to visibility settings or algorithmic adjustments will result in any specific level of exposure or connecting outcomes.
Risehat does not guarantee the retention or availability of any messages, communications, or data exchanged through the platform. By using the Service, you acknowledge that all connections, communications, and negotiations are conducted at your own discretion and risk, and Risehat disclaims any liability arising from your reliance on the platform’s connecting tools, communications features, or any outcomes resulting from user interactions.
7. Subscriptions, Billing, and Cancellation
Certain features and services offered through Risehat are accessible only through paid subscription plans. Subscription fees, billing cycles, available plans, and any applicable taxes are clearly disclosed during registration and can be reviewed in your account settings at any time.
By purchasing a subscription, you authorize Risehat to charge your designated payment method on a recurring basis according to the billing cycle you selected, until such time as you cancel the subscription or Risehat terminates your access. You represent and warrant that you have the legal right to use the payment method provided and authorize all applicable charges. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities (other than taxes on Risehat's income) that may apply to your purchase.
You may cancel your subscription at any time through the account management portal or by contacting Risehat support. Cancellations will take effect at the end of the current billing cycle, and you will retain access to subscription features until that time. Risehat does not provide prorated refunds or credits for unused portions of billing periods, except where required by applicable law or as expressly stated by Risehat in writing. Users located outside Israel may have additional rights or remedies under applicable local consumer protection laws, including statutory rights to refunds or cancellation. Risehat will comply with such requirements to the extent mandated by local law.
Failed or declined payments may result in the immediate suspension or termination of your account and loss of access to subscription features, connections, chats, and profile data. Suspension or termination does not waive or eliminate any amounts owed by you under your subscription plan. If the primary account holder for a employee-based account (such as an organization) fails to maintain payment or cancels the subscription, all associated employees accounts will also be suspended or terminated. Employees will not retain independent access or rights to continue using the Service outside of the organization’s primary subscription.
You agree to promptly update your payment information if your billing details change or your payment method expires. Risehat is not responsible for interruptions in access due to outdated or invalid payment methods. Currency conversion rates and foreign exchange fees charged by your payment provider may apply to international transactions, and Risehat is not responsible for any such charges.
Risehat uses third-party payment processors, including Stripe, to handle all billing transactions. You acknowledge and agree that Risehat is not responsible for any delays, errors, service interruptions, bugs, or technical issues arising from the operation of Stripe or any other payment provider. Any claims related to payment processing delays or errors must first be directed to the payment processor, although Risehat will make reasonable efforts to assist in resolving such issues.
In the event of a billing error, including accidental overcharges, missed charges, or refund miscalculations, you agree to notify Risehat promptly by contacting support@risehat.com. Risehat will make reasonable efforts to correct any confirmed errors but shall not be liable for any incidental, consequential, or punitive damages arising from such errors. You agree not to initiate chargebacks, reversals, or legal claims related to billing discrepancies without first allowing Risehat an opportunity to review and address the issue.
Risehat reserves the right to change subscription fees, billing terms, and available plans at any time, subject to providing reasonable advance notice where required by law. Continued use of the Service following any fee change constitutes your agreement to the new fees. If you do not agree to the fee changes, you must cancel your subscription before the next billing cycle.
By subscribing, you acknowledge and agree that recurring charges are authorized until canceled, and that refund eligibility is limited as described above.
8. Content Ownership and License
You retain ownership of the content you submit to the Service, including profile information, startup details, and communications (“User Content”). By submitting User Content, you grant Risehat a non-exclusive, worldwide, royalty-free, transferable, and sub-licensable license to use, reproduce, display, distribute, modify, adapt, and create derivative works of such content solely for the purpose of operating, promoting, and improving the Service and fulfilling Risehat's legal obligations.
You represent and warrant that you have the necessary rights and permissions to submit all User Content and that such content does not infringe the intellectual property, privacy, publicity, or other rights of any third party. You further agree not to submit content that is unlawful, abusive, or otherwise violates these Terms.
This license will continue for as long as your User Content is reasonably required to provide the Service or as necessary to comply with applicable law.
Risehat retains all rights, title, and interest in and to the Service, including all software, technology, designs, logos, trademarks, trade secrets, and proprietary content, excluding User Content. You agree not to reverse engineer, decompile, copy, or create derivative works based on any portion of the Service except as expressly permitted by Risehat in writing.
9. Conduct and Community Standards
You agree to use the Service in a professional, respectful, and lawful manner. You further agree not to engage in any behavior that could harm Risehat, other users, or the integrity of the platform. Prohibited conduct includes, but is not limited to, the following:
- You may not use the Service for any unlawful, fraudulent, or deceptive purpose.
- You may not misrepresent your identity, credentials, affiliations, organization status, or investment status.
- You may not post, transmit, or share any content that is illegal, offensive, defamatory, obscene, harassing, threatening, discriminatory, or otherwise objectionable.
- You may not solicit, harvest, or misuse other users’ personal information, including but not limited to scraping data, phishing, spamming, or attempting to bypass the platform’s communication features.
- You may not use automated tools, bots, scripts, or AI systems to access, scrape, or interact with the Service without Risehat's express written consent.
- You may not attempt to circumvent, disable, or interfere with any security features, user access controls, or connecting algorithms. Reverse engineering, duplicating, or creating derivative works based on any aspect of the platform is strictly prohibited.
- You may not upload or transmit viruses, malware, or any code intended to damage, interfere with, or otherwise disrupt the Service or other users’ access to the Service.
- You may not engage in behavior that is harmful to the community, including but not limited to abusive language, harassment, intimidation, bullying, exploitation, or promoting or facilitating fraudulent activities.
Risehat reserves the right, at its sole discretion, to remove or modify any content and to suspend, restrict, or terminate any account that has violated these Terms or engaged in behavior harmful to the community, regardless of whether such violations were previously warned or penalized. Serious violations may result in immediate suspension or termination without prior notice, even on a first offense.
Users are encouraged to report suspected violations of these Terms or abusive behavior through the app or by contacting Risehat support at support@risehat.com. Risehat will review reports at its discretion but does not guarantee that action will be taken on every report. Risehat's choice not to enforce any particular rule or respond to every report does not waive its right to enforce the rules at any time in the future.
Suspended users may submit a written appeal by contacting support@risehat.com. However, Risehat is under no obligation to review or respond to all appeals and may decline to reinstate any account at its sole discretion. All suspension and termination decisions are final and not subject to further review unless Risehat chooses to do so.
Risehat reserves the right, at its sole discretion, to investigate suspected violations of these Terms and to take any action we deem appropriate. This may include removing or modifying content, suspending or terminating accounts, reporting misconduct to appropriate authorities, or pursuing legal action.
You acknowledge that Risehat does not actively monitor all user activity or communications and has no obligation to do so. However, Risehat reserves the right to review content or behavior at any time and to respond as necessary to protect the platform and its users.
9. Conduct and Community Standards
Your use of the Service is governed by Risehat's Privacy Policy, which explains how we collect, use, store, and protect your personal data. By accessing or using the Service, you acknowledge that you have read, understood, and agree to the collection, use, and disclosure of your information as described in the Privacy Policy. You also consent to Risehat's use of your data for purposes including, but not limited to, providing the Service, facilitating connections and communication, improving user experience, and complying with legal obligations.
Risehat acts as the data controller for personal data collected through the Service, unless otherwise specified in our Privacy Policy. Certain data may also be processed by third-party service providers acting as data processors, including but not limited to payment processors (such as Stripe), cloud hosting services, communication providers, and analytics platforms. Risehat is not responsible for the privacy, security, or data practices of third parties, and your use of such services is subject to their respective privacy policies and terms.
Your data may be transferred to and stored in countries other than your country of residence, including Israel and the United States. Risehat implements appropriate safeguards for international data transfers as required by applicable law, such as the use of Standard Contractual Clauses or reliance on adequacy decisions.
While Risehat implements reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of user data, no method of electronic transmission or storage is entirely secure. We cannot guarantee absolute security and disclaim liability for unauthorized access, breaches, or loss of data resulting from circumstances beyond our reasonable control.
You are responsible for safeguarding your own login credentials, devices, and the information you choose to share through the Service. You acknowledge that certain information shared through your profile, communications, or scheduling tools may be visible to other users based on your selected privacy and visibility settings. Risehat is not responsible for any data that you voluntarily disclose to other users or third parties. If you submit personal data on behalf of others (e.g., adding employees), you represent that you have obtained all necessary consents or have another valid legal basis for doing so.
Risehat is also not responsible for the privacy or confidentiality of startup profiles once shared with organizations or employees. If a shared link or profile is forwarded, accessed, or otherwise disclosed outside your organization, Risehat bears no responsibility for any resulting access or exposure of that information.
Risehat retains user data as long as necessary to provide the Service, comply with legal obligations, enforce our agreements, resolve disputes, and maintain legitimate business records. Upon termination or deletion of your account, certain data may continue to be retained in backup or archival systems for a limited period as permitted by law. You may request deletion of your data by contacting support@risehat.com, subject to our Privacy Policy and applicable legal requirements.
Risehat may collect, compile, and use aggregated or anonymized data derived from user activity and profiles for purposes such as improving the Service, developing new features, conducting analytics, preparing industry reports, and marketing insights. Such data will not personally identify you and may be shared with third parties at Risehat's discretion.
Depending on your location, additional rights under data protection laws such as the EU General Data Protection Regulation (GDPR), UK GDPR, or the California Consumer Privacy Act (CCPA/CPRA) may apply. Please review our Privacy Policy for further details.
If you have questions about your data or privacy practices, please review our Privacy Policy or contact us at support@risehat.com.
11. Disclaimer of Warranties
The Service, including all content, features, and functionality, is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. Your use of the Service is at your sole risk.
Risehat does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee that the Service will meet your expectations or produce any particular results, including but not limited to the success of any connection, communication, meeting, collaboration, or investment opportunity. Risehat does not guarantee the continued availability of any particular features and reserves the right to modify or discontinue features at any time without notice.
To the fullest extent permitted by applicable law, Risehat disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. No advice or information, whether oral or written, obtained from Risehat or through the Service shall create any warranty not expressly stated in these Terms.
Risehat makes no representations or warranties regarding the quality, reliability, suitability, or availability of third-party services or platforms integrated into or used in connection with the Service, including but not limited to payment processors (such as Stripe), hosting providers (such as Amazon Web Services), communication tools (such as Sendbird), or analytics tools (such as Mixpanel). Any issues, outages, or failures caused by third-party services are beyond Risehat's control and responsibility.
Users are solely responsible for conducting their own due diligence and making independent decisions regarding any interactions, negotiations, collaborations, or transactions facilitated by the Service. Risehat does not warrant or guarantee the suitability, accuracy, reliability, or outcomes of any user, connection, or opportunity presented through the platform. You assume all risk for any reliance on the Service or its content.
From time to time, Risehat may offer access to beta, trial, or experimental features (“Beta Features”). Beta Features are provided "as is" and "as available," without warranties of any kind, either express or implied. Risehat makes no guarantees regarding the availability, performance, or functionality of Beta Features and reserves the right to modify or discontinue them at any time without notice. Your use of Beta Features is at your sole risk.
You acknowledge and agree that Risehat is not acting as a fiduciary, agent, broker, investment advisor, legal advisor, or any other type of professional advisor on behalf of any user. The Service does not provide legal, financial, investment, tax, or other professional advice, and no aspect of the Service should be interpreted as such. You are solely responsible for evaluating and making your own decisions regarding users, opportunities, and any resulting interactions, collaborations, or transactions.
Some jurisdictions may not allow the exclusion of implied warranties. In such cases, any implied warranties are limited to the minimum extent permitted by applicable law.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Risehat and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenues, business opportunities, data, goodwill, or other intangible losses, whether incurred directly or indirectly, arising out of or related to (a) your access to, use of, or inability to use the Service; (b) any conduct or content of other users or third parties on or through the Service; (c) any unauthorized access, use, or alteration of your content, communications, or account; (d) any errors, omissions, or interruptions in the Service; (e) any decisions, investments, negotiations, or transactions you enter into based on information, connections, or introductions obtained through the Service; or (f) any third-party claims brought against you relating to your use of the Service or your interactions with other users.
This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, fraud, misrepresentation, or any other legal theory, even if Risehat has been advised of the possibility of such damages, and regardless of whether any limited remedy provided in these Terms fails of its essential purpose or is deemed insufficient by a court.
Risehat shall have no liability whatsoever for any damages or losses arising from or related to third-party services or platforms used in connection with the Service, including but not limited to payment processors, hosting providers, scheduling tools, or communication services.
Risehat shall not be liable for any delay, interruption, or failure to perform any obligation under these Terms resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war, terrorism, labor disputes, governmental actions, changes in laws or regulations, power outages, internet or telecommunications failures, third-party service disruptions (including but not limited to Stripe or hosting providers), or other unforeseen events. In such circumstances, Risehat's obligations will be suspended for the duration of the event.
Users are solely responsible for their own decisions, actions, and reliance on any content or information obtained through the Service.
In jurisdictions where limitations of liability are restricted, Risehat's liability shall be limited to the maximum extent permitted by applicable law.
In no event shall Risehat's total cumulative liability for all claims related to the Service exceed the total amount you paid, if any, for access to the Service during the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, Risehat's liability shall be limited to the minimum extent permitted by law.
13. Termination
You may delete your account at any time through the account settings or by contacting Risehat support. Termination of your account is effective immediately upon confirmation, and all associated connections, messages, and profile data will be permanently deleted. Deleted accounts and data cannot be restored, except where retention is required by law or for legitimate business purposes such as fraud prevention or compliance.
Risehat may, at its sole discretion, suspend or terminate your account, or restrict your access to the Service, at any time and without prior notice. Reasons for termination may include, but are not limited to, violations of these Terms, suspected fraudulent or abusive activity, failure to meet eligibility criteria, non-payment of subscription fees, or any other reason that Risehat determines is necessary to protect the platform, the community, or our business interests.
Risehat is under no obligation to provide notice, explanation, or an opportunity to cure prior to suspension or termination. In cases where Risehat terminates an account for cause, no refund or credit shall be due.
For employee-based accounts (such as organizations), if the primary organization account is suspended or terminated, all associated employee accounts will also be suspended or terminated. Employees will not retain independent access or rights to continue using the Service following such termination.
Accounts are non-transferable. Users may not assign, sell, or otherwise transfer their account to another party, and terminated accounts may not be reactivated except at Risehat's sole discretion.
Risehat reserves the sole discretion to review or decline to review any appeals or requests for reinstatement following suspension or termination. Users acknowledge that Risehat is not obligated to consider or respond to appeals and that all decisions regarding suspension, termination, and reinstatement are final.
Upon termination, all connections, messages, data, and content associated with your account will be permanently deleted and will not be recoverable, subject to any data retention required by law. Risehat shall have no liability for any loss of data, business opportunities, revenue, or goodwill resulting from termination of access to the Service.
Users agree to hold Risehat harmless from any claims, damages, or losses arising out of account termination, whether voluntary or involuntary.
Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations, indemnification responsibilities, or any other provisions of these Terms that by their nature are intended to survive termination.
13. Termination
Risehat reserves the right to update, modify, or replace these Terms at any time, at our sole discretion. Changes may take effect immediately upon posting or as of a future effective date specified in the notice.
Notice of changes will be provided by one or more of the following methods: posting the updated Terms within the Service, sending an email to the email address associated with your account, or by other reasonable means. It is your responsibility to keep your contact information current and to regularly review the Terms for updates. Risehat reserves the right to make minor or administrative updates to the Terms (such as correcting typographical errors or clarifying language) without providing formal notice.
All users, including registered account holders, employees under organizational accounts, and any guests or unregistered users who access the Service, are bound by any changes to the Terms once the updated version becomes effective.
Your continued access to or use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service and, if applicable, cancel your subscription prior to the effective date of the changes.
Changes to the Terms do not relieve you of any obligations or liabilities incurred under prior versions of the Terms.
Risehat is not liable for any loss, damage, or inconvenience resulting from your failure to review or comply with changes to the Terms.
15. Governing Law and Jurisdiction
These Terms, and any disputes or claims arising out of or relating to them or to your use of the Service, shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law principles.
You agree that the courts located in Israel, or another court chosen by Risehat within Israel or another jurisdiction solely for enforcement purposes, shall have exclusive jurisdiction and venue over any legal action or proceeding arising out of or relating to these Terms or the Service. You irrevocably consent to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.
If you access or use the Service from outside Israel, you do so at your own risk and are responsible for compliance with all local laws. Regardless of your location or jurisdiction, you agree that any disputes will be governed solely by Israel law and adjudicated exclusively in the courts designated by Risehat as described above.
To the fullest extent permitted by law, you waive any right to participate in a class action, collective action, or representative proceeding against Risehat, and agree that any dispute will be resolved solely on an individual basis. This waiver shall survive termination of your account and the expiration or termination of these Terms.
Nothing in these Terms shall prevent Risehat from seeking injunctive relief or enforcement of intellectual property rights in any jurisdiction where such action is necessary.
